The terms and conditions of the Financing Documents are known to the Guarantor.

Submit well documented Project financing requests to Switzerland resulting from approved Project outlines;

2.1 Modifications of, or amendments to, the Financing Documents shall not require the consent of the Guarantor.

Eurofima by an equipment financing dated 30. 07. 2004 ("Financing Documents") extends to the Holding Slovenske železnice, d.o.o. ("Borrower") debt financing for purposes of refinancing certain railroad rolling stock in an amount not exceeding EUR 80'000'000 (Euro eighty million).

1.1 The Guarantor hereby unconditionally and irrevocably guarantees to Eurofima that all payment obligations of the Borrower under the Financing Documents will be duly and promptly fulfilled in the currency owed by the Borrower under the Financing Documents.

3.2 The Guarantor shall notify Eurofima without delay of any events that may endanger the due implementation of the Financing Documents or of this Guarantee Agreement.

In cases where the interval between receipt of the supporting documents needed to make the payment and issuing of the payment order exceeds three months, Community co-financing may be reduced.

However, the Guarantor shall assume liability for additional payment obligations only if the Guarantor shall have consented to the respective modifications of, or amendments to, the Financing Documents.

3.1 The Guarantor hereby confirms that all authorizations required in the Republic of Slovenia for the conclusion and implementation of the Financing Documents and of this Guarantee Agreement have been duly granted and continue to be in full force and effect.

In case additional services not foreseen in the Project Document are required, UNIDO may, if deemed necessary by the Donor, submit a revised budget for approval by the Donor showing the required changes in inputs and/or adjusted financing that would be necessary.

(i) at the latest six months after the signature of this Contract, copies of the monitoring reports regarding each Sub project in the form as drawn up for ISPA (including the semi-annual monitoring reports; and (ii) from time to time, any such further document or information concerning the financing, implementation and operation of the Project as the Bank may reasonably require;

1.3 The payment obligations of the Guarantor hereunder shall be non accessory, primary and independent obligations of the Guarantor within the meaning of Art. 111 and not a mere surety within the meaning of Art. 492 et seq. of the Swiss Code of Obligations, subject only to the requirements of the Guarantee Request contemplated herein and in particular independent of any legal proceedings or other action instituted by Eurofima against the Borrower or any other security which has been or will be furnished to Eurofima in respect of its claims under the Financing Documents.

(a) deliver to the Bank in the English language or with English translation, (i) by 30 June 2002 and subsequently at half-yearly intervals until the Project is completed and thereafter till the Loan is repaid a report on the implementation of the Project or on its status after completion, as the case may be, satisfactory to the Bank; (ii) six months after the completion of the Project, a Project completion report satisfactory to the Bank; and (iii) from time to time, any such further document or information concerning the financing, implementation and operation of the Project as the Bank may reasonably require;

Each financing agreement or grant agreement must expressly provide for the Commission and the Court of Auditors to have the power of audit, on the basis of documents and on the spot, over all contractors and subcontractors who have received Community funds.

When assessing requests for reduction of the amount of the refund certificate and proportional release of the relevant security, the national competent authority should, in cases of doubt, have regard in particular to the documents referred to in Article 1(2) of Council Regulation (EEC) No 4045/89 of 21 December 1989 on scrutiny by Member States of transactions forming part of the system of financing by the Guarantee Section of the European Agricultural Guidance and Guarantee Fund and repealing Directive 77/435/EEC(5) without prejudice to the application of the other provisions of that Regulation.

Any co-financing that is not recorded in the project's accounts or tax documents cannot normally be considered as co-financing.

The Commission shall forward financing agreements or similar documents to the CARDS Committee for information.

All project documentation and publications must mention EU co-financing, 'This project is co-financed by the European Refugee Fund':

Both public and other co-financing must be recorded in the beneficiary's accounts or tax documents, and be identifiable and controllable.

Where such invoices or supplementary documents cannot be produced by the beneficiary, the expenditure related to it will not be eligible for co-financing.

The present project covers the financing of three further documents written by the GAN and its advisers, and the review of Russian work by EU safety experts.

The presentation of this table does not exclude the forwarding of the documents specified in Articles 3 and 5 of Regulation (EEC) No 283/72 (OJ No L 36, 10. 2. 1972, p. 1) concerning irregularities and the recovery of sums wrongly paid in connection with the financing of the common agricultural policy and the organization of an information system in this field.

The Member States shall keep at the Commission's disposal, in respect of each beneficiary and for a period of three years after the final financing has taken place, all the supporting documents of authenticated copies thereof which are in their possession and on the basis of which the decision was taken to grant the aid provided for in Article 6 of Regulation (EEC) No 3796/81.

This Regulation relates to scrutiny of the commercial documents of those entities receiving or making payments relating directly or indirectly to the system of financing by the Guarantee Section of the EAGGF, hereinafter called ´undertakings', in order to ascertain whether transactions forming part of the system of financing by the Guarantee Section of the EAGGF have actually been carried out and have been executed correctly.
